1. About Fintec Group

Fintec Group (Pty) Ltd (“Fintec Group”, “we”, “us”) is a registered accounting and tax practice. Our principal practitioner, Reghardt Venter, is a Chartered Business Accountant (CBA Commerce, CIBA — Member No. CIBA202110-2465) and a Registered Tax Practitioner (SAIT Member No. 60630773 · SARS Practitioner No. PR-0101146).

These terms govern the use of our websites (fintecgroup.co.za and expat.fintecgroup.co.za) and the professional services we provide.

2. Services

Fintec Group provides the following professional services to clients:

• Tax and statutory compliance (income tax, VAT, provisional tax, CIPC filings)
• Accounting and financial reporting (bookkeeping, management accounts, annual financial statements)
• Payroll administration (PAYE, UIF, SDL, IRP5, EMP501)
• SARS tax residency assessments and expat compliance services

The specific scope of services, deliverables, and fees for each client are set out in a written engagement letter or service agreement. These Terms of Service apply alongside any such engagement letter.

3. Engagement and Fees

3.1 Engagement

A professional engagement commences when both parties have agreed in writing to the scope of services, either by signing an engagement letter or by confirming in writing (including by email).

3.2 Fees

Fees are as quoted or as set out in the engagement letter. We reserve the right to adjust our fees with reasonable notice. Quoted fees are exclusive of VAT where applicable.

3.3 Payment

Invoices are payable within the period stated on the invoice. Late payment may result in suspension of services. For online assessments (such as the SARS Residency Clarity Assessment), payment is required upfront before work commences and is non-refundable once work has begun.

3.4 Disputed invoices

If you dispute an invoice, you must notify us in writing within 7 days of the invoice date. Undisputed amounts remain payable.

4. Client Responsibilities

You agree to:

• Provide accurate, complete, and timely information and documentation required for us to perform our services
• Notify us promptly of any changes to your circumstances that may affect your tax or compliance obligations
• Review and approve all submissions, returns, and documents before filing where your approval is required
• Maintain your own records in accordance with applicable legal requirements

Fintec Group is not liable for errors, penalties, or omissions resulting from inaccurate or incomplete information provided by the client.

5. Professional Standards and Limitations

Our services are performed in accordance with applicable professional standards, including those of CIBA and SAIT. Our work constitutes professional accounting and tax services — it does not constitute legal advice. Where legal advice is required, we will recommend you consult a qualified attorney.

Tax legislation and SARS practice may change. While we take care to remain current, Fintec Group is not liable for changes in law or SARS interpretation that affect outcomes after we have completed our work.

6. Confidentiality

We treat all client information as strictly confidential. We will not disclose your information to any third party except as required by law, with your consent, or as necessary to deliver our services (for example, making submissions to SARS on your behalf). Our full data handling practices are set out in our Privacy Policy.

7. Intellectual Property

All templates, working papers, methodologies, and systems used by Fintec Group remain our intellectual property. Documents prepared specifically for you (such as financial statements and tax returns) belong to you once all fees have been paid.

8. Limitation of Liability

To the maximum extent permitted by law, Fintec Group’s total liability for any claim arising out of or related to our services is limited to the fees paid by you for the specific service giving rise to the claim.

We are not liable for indirect, consequential, or special damages, including loss of profit or business opportunity, even if we have been advised of the possibility of such damages.

9. Termination

Either party may terminate an engagement by giving reasonable written notice. Upon termination, you remain liable for all fees for work completed to the date of termination. We will return or transfer your records to you in an orderly manner, subject to payment of outstanding fees.

10. Website Use

Our websites are provided for information purposes. We make no warranties about the accuracy or completeness of website content. You use our websites at your own risk. We reserve the right to modify or discontinue any part of our websites at any time.

11. Governing Law

These terms are governed by the laws of the Republic of South Africa. Any disputes will be subject to the jurisdiction of the South African courts.

12. Changes to These Terms

We may update these Terms of Service at any time. The current version is always available on our website. Continued use of our services after a change constitutes acceptance of the updated terms.
